These terms and conditions ("Agreement") govern your access and use of the ReferMe software as a service ("System") provided by ReferMe Ltd, a company registered in the UK – Company Number – SC752542, with its registered office at Primrose Cottage, Quarrywood, Elgin, Moray, Scotland IV30 8XJ ("ReferMe," "we," or "us"). By accessing or using the System, you agree to be bound by this Agreement. If you do not agree with these terms and conditions, you may not use the System.
Definitions
1.1 "User" means the individual or entity accessing and using the System as a Service Adviser.
1.2 "Service Adviser" means the User who utilizes the System to refer and manage contacts.
1.3 "Contact" means an existing customer or prospect of the Service Adviser.
Use of the System
2.1 Eligibility: To use the System, you must be at least 18 years old and have the legal authority, and relevant service qualifications to enter into this Agreement.
2.2 User Account: You may be required to create a user account to access and use the System. You agree to provide accurate and complete information during the registration process and to keep your account credentials confidential. You are responsible for all activities that occur under your account.
2.3 Acceptable Use: You agree to use the System in compliance with all applicable laws and regulations. You shall not use the System for any illegal, harmful, or unauthorized purposes, including but not limited to spamming, sending unsolicited communications, or engaging in fraudulent activities.
Referrals and Contact Management
3.1 Referral Process: The System enables Service Advisers to refer contacts and manage their interactions through designated channels provided by ReferMe. Referrals must be accurate and complete to be considered valid.
3.2 Contact Information: Service Advisers may input and manage contact information within the System. You represent and warrant that you have obtained the necessary consent to store and process contact information in compliance with applicable data protection laws.
3.3 Compliance with Laws: You shall comply with all applicable laws and regulations, including but not limited to data protection and privacy laws, in relation to the collection, use, and processing of contact information through the System.
Intellectual Property
4.1 Ownership: ReferMe retains all intellectual property rights in the System, including but not limited to software, trademarks, logos, and any other materials provided.
4.2 License: ReferMe grants you a limited, non-exclusive, non-transferable license to use the System for the purpose of referring and managing contacts in accordance with this Agreement. You shall not modify, distribute, reproduce, or create derivative works based on the System without the prior written consent of ReferMe.
Limitation of Liability
5.1 Disclaimer: ReferMe makes no warranties or representations, either expressed or implied, regarding the System, including but not limited to its accuracy, reliability, availability, or fitness for a particular purpose. The System is provided on an "as is" basis.
5.2 Indemnification: You agree to indemnify, defend, and hold harmless ReferMe and its affiliates from any claims, losses, damages, liabilities, costs, and expenses arising out of your use of the System or breach of this Agreement.
Termination
6.1 Termination by You: You may terminate this Agreement at any time by discontinuing the use of the System and closing your account, if applicable.
6.2 Termination by ReferMe: ReferMe reserves the right to suspend or terminate your access to the System at its sole discretion, with or without cause, and without prior notice.
Miscellaneous
7.1 Entire Agreement: This Agreement constitutes the entire agreement between you and ReferMe regarding the System and supersedes any prior agreements or understandings, whether written or oral.
7.2 Severability: If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement shall remain in full force and effect.
7.3 Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the UK. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the UK.
